These Terms and Conditions govern your use of the Smart Money Broke Minds website at smartmoneybrokeminds.com and web application at app.smartmoneybrokeminds.com (collectively, the "Platform"), operated by Brandon Barbour in the State of Florida. By accessing or using our Platform, creating an account, or making any purchase, you agree to be bound by these Terms. If you do not agree, do not use our Platform.

1. EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY

All information, content, courses, webinars, community discussions, stock screening tools, coaching sessions, and resources provided by Smart Money Broke Minds are intended solely for educational and informational purposes.

Smart Money Broke Minds is NOT a registered investment advisor, broker-dealer, financial planner, or licensed financial professional with the SEC, FINRA, or any regulatory body. Nothing on this Platform constitutes financial advice, investment advice, trading advice, or a recommendation to buy or sell any security, cryptocurrency, futures contract, or other financial instrument.

• Past performance discussed within our community or courses is not indicative of future results

• All investments carry risk including the potential loss of your entire principal

• SMBM and its instructors, coaches, partners, and community members may hold positions in securities discussed — this is a conflict of interest you should be aware of

• Always conduct your own independent research and consult with a licensed financial professional before making any investment decisions

• Any decisions you make based on information obtained through SMBM are solely your own responsibility

2. ELIGIBILITY & ACCOUNT REGISTRATION

• You must be 18 years of age or older to create an account and use our Platform

• You must provide accurate, current, and complete information when creating your account

• You are responsible for maintaining the confidentiality and security of your account credentials

• You may not share your account access with any other person

• You are responsible for all activity that occurs under your account

• You must notify us immediately at smbmconnect@smartmoneybrokeminds.com if you suspect unauthorized access to your account

• SMBM reserves the right to refuse account registration to anyone at its sole discretion

3. SUBSCRIPTIONS & PAYMENTS

Smart Money Community — Monthly Membership:

• The Smart Money Community is billed at $59.99 per month on a recurring basis

• Billing occurs automatically on the same date each month

• Membership fees are non-refundable per our No-Refund Policy

• You may cancel your membership at any time through your account settings or by contacting us

• Cancellation stops future billing at the end of the current billing period

• Your access remains active through the end of your paid billing period

• No prorated refunds or partial refunds will be issued for unused time

Broke to Rich Mindset Coaching — One Time Payment:

• The Broke to Rich Mindset Coaching program is a one-time payment of $1,450

• This payment includes 90 days of coaching access from the date of enrollment

• This payment includes 1 year of Smart Money Community access from the date of enrollment

• This is a one-time non-refundable payment

• Coaching access expires after 90 days regardless of usage

• Community access expires after 1 year regardless of usage

• Missed or unused coaching sessions are not refunded or rescheduled beyond the 90-day window

General Payment Terms:

• All payments are processed securely by Stripe

• We do not store your full payment card details

• You authorize SMBM to charge your payment method on a recurring basis for the Smart Money Community until you cancel

• If a payment fails, your access may be suspended until payment is resolved

• All prices are in US Dollars

4. NO REFUND POLICY

All sales are final. No refunds, exchanges, credits, or returns will be provided for:

• Smart Money Community membership fees

• Broke to Rich Mindset Coaching program fees

• Any courses, digital products, or downloadable resources

• Any consultations or coaching sessions whether completed, partially completed, or missed

• Merchandise and physical products once shipped

SMBM reserves the right to terminate any account or membership for violations of these Terms without refund.

5. SMART MONEY COMMUNITY — MEMBERSHIP FEATURES

Your Smart Money Community membership provides access to:

• Community chat rooms for Wealth Building, AI Training, Cryptocurrency, and Futures Trading

• Course content libraries for each community room including resource links, videos, and webinars

• Stock screener and fundamentals analysis tools

• Budget calculator

• Live webinars and educational events

• Member progress tracking

Access to the Mindset community room and Broke to Rich Mindset Coaching content requires the Mindset tier upgrade.

SMBM reserves the right to add, modify, or remove features from the Platform at any time without notice.

6. COMMUNITY RULES & ACCEPTABLE USE

By participating in our community chat rooms you agree to the following rules:

You MUST NOT post content that:

• Constitutes financial advice, specific investment recommendations, or stock tips to other members

• Promotes, solicits, or advertises any external business, product, service, or community

• Is threatening, harassing, abusive, defamatory, obscene, or discriminatory

• Violates any applicable law or regulation

• Infringes the intellectual property rights of any third party

• Contains false or misleading information

• Involves pump-and-dump schemes, market manipulation, or any fraudulent financial activity

• Shares another member's personal information without their consent

• Involves spam, repetitive posting, or disruptive behavior

Moderation:

• SMBM and designated partner moderators reserve the right to delete any post, issue warnings, or remove any member from the community at any time without refund

• Repeated violations may result in permanent account termination without refund

• SMBM is not responsible for the accuracy, reliability, or legality of content posted by community members

• Always consult a licensed professional before acting on any information shared in community discussions

7. DIGITAL PLATFORM & APP TERMS

By creating an account and accessing our app at app.smartmoneybrokeminds.com you agree that:

• You will use the Platform only for lawful purposes

• You will not attempt to gain unauthorized access to any part of the Platform or other users' accounts

• You will not reverse engineer, scrape, or copy any part of the Platform

• You will not use automated tools, bots, or scripts to access the Platform

• You will not upload malicious code, viruses, or harmful content

• SMBM reserves the right to suspend or terminate accounts that violate these terms immediately and without notice

• The Platform is provided on an as-is basis and SMBM does not guarantee uninterrupted access

8. INTELLECTUAL PROPERTY & LICENSE

• All content on the Platform including but not limited to courses, videos, tools, branding, logos, and written materials is the intellectual property of Smart Money Broke Minds unless otherwise stated

• You are granted a limited, non-exclusive, non-transferable license to access and use Platform content for your own personal, non-commercial educational purposes only

• You must not copy, reproduce, republish, sell, rent, sublicense, redistribute, or publicly display any Platform content without prior written permission from SMBM

• User-generated content you post in community rooms remains your property but you grant SMBM a non-exclusive license to display and use that content on the Platform

• No use of the SMBM name, logo, or brand is permitted without prior written approval

9. CONSULTATION CALL POLICY

• Consultation calls are generally 15 to 30 minutes in length

• Calls are intended for educational and informational purposes only

• Consultations do not create any professional-client relationship

• No financial, investment, legal, tax, or medical advice is provided

• Results are not guaranteed

• All consultation calls may be recorded for legal compliance, quality assurance, and training purposes

• By scheduling a consultation you consent to recording of the session

• SMBM reserves the right to terminate, reschedule, or refuse any consultation call at any time for any reason without refund

10. PARTNER & INSTRUCTOR RELATIONSHIPS

Partner and instructor relationships within the Smart Money Community are governed by separate Partner & Instructor Agreements. Nothing on this Platform implies that any partner or instructor is an employee or agent of SMBM. Partners are independent contractors. SMBM is not responsible for the specific advice, recommendations, or content provided by individual partners or instructors beyond SMBM's general editorial standards.

11. RIGHT TO REFUSE SERVICE & TERMINATE ACCOUNTS

SMBM reserves the right to:

• Refuse service or deny access to any person at its sole discretion

• Suspend or terminate any account immediately for violations of these Terms

• Remove any member from the community for any reason

• Cancel any subscription or membership without prior notice for violations of these Terms

No refund will be issued in connection with account suspension or termination due to violations of these Terms.

12. DISCLAIMER OF WARRANTIES

The Platform and all content, tools, and services are provided on an as-is and as-available basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. SMBM does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. SMBM does not warrant the accuracy, completeness, or usefulness of any information on the Platform.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Smart Money Broke Minds, its owners, affiliates, employees, contractors, partners, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from:

• Use of or inability to use the Platform

• Any financial or investment decisions made based on Platform content

• Community participation or reliance on content posted by other members

• Unauthorized access to or alteration of your account

• Any loss of data or profits

• Any other matter relating to the Platform

Your use of the Platform is entirely at your own risk. In no event shall SMBM's total liability to you exceed the amount you paid to SMBM in the 30 days preceding the event giving rise to the claim.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Smart Money Broke Minds and its owners, officers, agents, partners, and employees from any claims, damages, losses, liabilities, and expenses including attorney's fees arising from your use of the Platform, your violation of these Terms, your violation of any third-party rights, or any content you submit to the Platform.

15. PRIVACY

Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.

19. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Florida without regard to its conflict of law provisions. Any disputes, claims, or controversies arising out of or relating to these Terms, your use of the Platform, products, services, consultations, or community membership shall first be attempted to be resolved through good faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in the State of Florida in accordance with the rules of the American Arbitration Association before either party may pursue any court action. You waive any right to a jury trial in connection with any dispute arising from your use of SMBM products or services. Notwithstanding the foregoing, SMBM reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

20. ENTIRE AGREEMENT

These Terms together with our Privacy Policy and No-Refund Policy constitute the entire agreement between you and Smart Money Broke Minds regarding your use of the Platform and supersede all prior agreements, representations, and understandings. Partner and instructor relationships are governed by separate Partner & Instructor Agreements.
